Additional Terms for Winding Up – Company / LLP

A company is eligible for strike-off if it has not commenced business within one year of incorporation, or if it has remained inactive for two consecutive financial years without applying for dormant status under Section 455, and has no recorded transactions, income, assets, or liabilities during such inactive period.

If a company has received STK-1 or STK-5 notices, all pending statutory and regulatory compliances must be completed before filing Form STK-2. Commencement of Business is mandatory for submitting STK-2. All directors must provide unanimous consent for removal of the company’s name from the Registrar of Companies and must sign all required documents.

The Directors’ DIN e-KYC and Digital Signature Certificates (DSC) must remain valid and active until the company’s status reflects “Under Process of Strike Off” on the Ministry of Corporate Affairs portal.

The company should not close its current bank account if there is a possibility of receiving refunds, chargebacks, incentives, or subsidies. The winding-up process may be initiated only after all such receivables have been credited to the account to avoid financial loss. Once all expected amounts are received, the bank account may be closed and the winding-up engagement may proceed.

Closure of the current bank account and cancellation of registrations such as Professional Tax, Import Export Code (IEC), Trademark, ESI, and PF must be carried out by the authorized director through offline procedures with the respective authorities.

A company shall not be eligible for strike-off if it has changed its name, shifted its registered office to another state, disposed of property or rights (subject to prescribed conditions), or carried out activities other than those necessary for making a strike-off application. Further, a company is ineligible if it has applied to the Tribunal for compromise or arrangement and such proceedings are pending, or if it has been wound up under Chapter XX, whether voluntarily, by the Tribunal, or under the Insolvency and Bankruptcy Code, 2016.

Form STK-2 is not applicable to Section 8 companies, Nidhi companies, subsidiaries, or public limited companies.

Tsquare shall not be responsible for rejection of STK-2 filings where the client instructs submission despite non-fulfilment of eligibility conditions.

Additional charges shall apply if the company’s bank account statements contain more than 100 transaction entries.

Government fees of ₹10,000, along with expenses for stamp paper, notarization, and any applicable taxes, interest, or penalties, shall be borne entirely by the client.

For LLP strike-off, an additional government fee of ₹1,000 shall be payable by the client.

The listed pricing for LLP winding-up services is applicable only to LLPs with no assets and no liabilities.

Any changes relating to the registered office address, email ID, or addition or removal of partners must be completed separately by filing the relevant forms with the Ministry of Corporate Affairs. Additional charges shall apply for such filings.

LLPs are required to file Form 3 within 30 days of incorporation. If this filing is delayed, the applicable penalty must be paid before submitting Form 24 for closure of the LLP with the Ministry of Corporate Affairs.

Terms & Conditions Applicable to Refunds and Cancellations

At Tsquare, we take pride in the quality of services and customer support we provide. We continuously work to enhance our accounting, financial, compliance, and secretarial services delivered through digital platforms. However, if you are dissatisfied with any service, you are encouraged to contact us promptly so that we can review the issue, take corrective action, or, where applicable, provide a refund or service credit for future use.

Not Satisfied? Reach Out to Us

If you are not satisfied with the service availed, you may log in to the Tsquare platform and raise a support request or ticket for the relevant engagement to initiate the refund or resolution process. All such requests are reviewed by senior team members and responded to within a reasonable timeframe.

Refund Policy

Tsquare’s service obligation is deemed fulfilled once access to the platform, tools, or service environment is provided. Any actions, decisions, filings, or outcomes thereafter are the sole responsibility of the client.

Clients are responsible for ensuring the accuracy and correctness of information provided. Tsquare shall not be liable to pay any penalties, taxes, or statutory dues on behalf of clients, nor shall it be responsible for any additional costs incurred by the client in connection with the completion or outcome of the service.

All approved refunds are subject to a 20% cancellation charge.

Procedure for Requesting a Refund

Refund requests must be initiated by logging in to the Tsquare platform and submitting a request through the designated support or engagement communication channel.

All refund requests must be made within 60 days from the date of purchase. Requests submitted after 60 days will not be eligible for a monetary refund and may only be considered for service credits or change of service, at Tsquare’s discretion.

Once all required information is received, including the reason for refund and bank or payment details, refund processing typically takes 4 to 5 weeks.

Change of Service

If you wish to change the service originally purchased to a different service, such a request must be submitted within 7 days from the date of purchase. Approval of service change requests is subject to feasibility and internal review.

Standard Pricing Policy

Tsquare follows a standard pricing structure, under which no additional service fees are charged beyond what is agreed at the time of purchase. However, this standard pricing does not cover any increase in the overall amount payable due to changes in government fees, statutory charges, or expenses incurred by the client for legal documentation, re-filing, or resubmission of applications following rejection by a government authority.

Tsquare shall not be responsible or liable for any additional costs incurred by the client in connection with the completion, correction, or outcome of the service.

Factors Beyond Our Control

Tsquare does not guarantee the outcome or result of any specific procedure or application. Decisions taken by government authorities, such as rejection of a trademark or delay in approvals, are based on statutory requirements and factors beyond Tsquare’s control.

Delays may also occur due to government backlogs or technical issues on official portals such as the MCA, Income Tax, GST, or other regulatory websites. In addition, Tsquare does not guarantee the outcome of services rendered by independent associates or third-party professionals who are not employees of Tsquare.

Such circumstances are outside Tsquare’s control and are not covered under any satisfaction guarantee or refund policy. Delays or rejections caused by government authorities or platforms shall not be considered valid grounds for claiming a refund.

Force Majeure

Tsquare shall not be deemed to be in breach of its service commitments or terms if its performance is delayed, interrupted, or prevented due to events beyond its reasonable control. These events may include, but are not limited to, natural disasters, acts of God, epidemics, pandemics, governmental actions, changes in law, court orders, war, terrorism, civil unrest, labor disputes, system failures, or any other similar circumstances, whether foreseeable or unforeseeable (each a “Force Majeure Event”).

In the event of a Force Majeure Event, Tsquare shall not be liable for any delay or failure in performance arising from such causes.

Cancellation Fee and Service Hold

As Tsquare incurs costs and allocates time, manpower, technology resources, and effort toward service delivery and document preparation, the satisfaction guarantee applies only to service-related issues attributable to Tsquare and not to changes in the client’s circumstances or preferences.

If a client requests that the processing of a service be temporarily paused, the amount paid will be retained as credit in the client’s account and applied once the client is ready to resume the service.
